Terms & Conditions for Using Teela

These Terms (the "Terms")form a legally binding agreement between Teela, LLC ("Teela,""we," "us," or "our") and the entity or individual who accesses or uses (a) Teela's natural-language-to-SQL software-as-a-service platform (the "Services") and/or (b) Teela's public websites and related online properties (the "Website"). By clicking "I Accept," creating an account, or using the Services or Website, you agree to these Terms. If you do not agree, do not use the Services or Website.

Certain provisions apply specifically to the Services (our SaaS platform), the Website, or both. Where a conflict exists between an  Order/Service Agreement and theseTerms, the Order/Service Agreement controls for the Services.

1. Eligibility; Accounts

The Website is offered and available only to users 18 years of age or older. By using the Website, you represent and warrant that you are of legal age to form a binding contract and meet all eligibility requirements. If you do not meet these requirements, you must not access or use the Website.

To access certain features of the Services or Website, you may need to register an account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account.

2. Privacy Policy; Incorporated Terms

Our Privacy Policy is incorporated by reference into these Terms. By using the Services or Website, you consent to our processing of information as described in the Privacy Policy.

3. Access to theWebsite; Account Security

We may withdraw or amend the Website, and any service or material we provide on the Website, in our sole discretion without notice. We will not be liable if any part of the Website is unavailable at any time or for any period. From time to time, we may restrict access to some parts of the Website, or the entire Website, to users. 

It is a condition of your use of the Website that all information you provide is correct, current, and complete. You consent to all actions we take with respect to your information consistent with our Privacy Policy.

4. The Services; License; Data Handling

4.1 License. Subject to these Terms and timely payment of applicable fees, Teela grants you a non-exclusive, non-transferable, limited right to access and use the Services during the subscription term.

4.2 Read-Only Access. The Services require read-only access to your databases.You represent and warrant that you have authority to grant such access. TheServices are engineered with technical safeguards to prevent write, update, delete, or structural modification operations.

4.3 Ownership. You retain ownership of your data. You own the specific SQL, charts, or graphs generated by the Services. You grant Teela a perpetual, irrevocable, royalty-free, worldwide license to use de-identified or anonymized outputs for debugging, internal analytics, and algorithmic optimization.

4.4 Feedback. If you provide Teela with any suggestions, enhancement requests, or other feedback ("Feedback"), you grant Teela a perpetual, irrevocable, worldwide, royalty-free license to use and incorporate such Feedback into the Services without any obligation of compensation or attribution.

4.5 Input Warranties. You represent and warrant that your natural-language inputs do not contain: (a) protected health information (PHI) as defined by HIPAA; (b) sensitive personal information (such as SSNs or financial account numbers) unless expressly authorized; or (c) any content that infringes third-party intellectual property rights.

5. Fees and Payment

Fees and Payment. Fees are charged on a flat-fee basis unless otherwise stated in an Order. Payment of all fees is a condition precedent to activation of the Services; access may be withheld until Teela confirms receipt of cleared funds. All payments are non-refundable and not subject to set-off, abatement, or counterclaim.

Subscription and Auto-Renewal. Unless otherwise specified in anOrder, your subscription will automatically renew for successive periods of the same duration as the initial term (e.g., monthly or annually) at Teela’s then-current rates. To prevent renewal, you must cancel your subscription through your account settings or by contacting us at least sixty (60) days prior to the renewal date. All fees paid are non-refundable

6. Acceptable Use

You shall not (and shall not permit anyone to): (a) reverse engineer, decompile, or attempt to derive the source code or underlying algorithms of the Services; (b) use the Services to generateSQL for malicious activities, including unauthorized data exfiltration or SQL injection; (c) circumvent or disable any security or read-only safeguards; (d)use the Services in any manner that violates applicable law or third-party rights.

WebsiteProhibitions. You further agree not to: (i) use any robot, spider, or other automatic device to access the Website; (ii) introduce viruses, Trojan horses, worms, logic bombs, or other malicious material; (iii) attempt to gain unauthorized access to any parts of the Website or related systems; (iv) attack the Website via a denial-of-service or distributed denial-of-service attack; or(v) otherwise interfere with the proper working of the Website.

7. Intellectual Property

The Services, Website, and all related content, features, and functionality are owned by Teela or its licensors and are protected by intellectual property laws. Except for the limited rights expressly granted herein, no license or other rights are granted by implication or otherwise. You must not reproduce, distribute, modify, create derivative works of, publicly display or perform, republish, download, store, or transmit any material on the Website except as expressly permitted.

8. Third-Party Links

The Website may contain links to third-party websites or resources for convenience only. We have no control over the contents of those sites or resources and accept no responsibility for them or for any loss or damage that may arise from your use of them. Your use of third-party websites is at your own risk and subject to their terms and policies.

9. Copyright Complaints (DMCA)

If you believe material on the Website infringes your copyright, please send a notice of infringement to legal@teela.ai including: (i) the date; (ii) your physical or electronic signature; (iii) identification of the copyrighted work claimed to have been infringed, or a representative list; (iv) identification of the material claimed to be infringing and information sufficient to locate it; (v) your contact information; (vi) a good-faith statement that the use is not authorized; and (vii) a statement that the information is accurate and, under penalty of perjury, that you are authorized to act for the owner. It is Teela’s policy to terminate users who are repeat infringers.

10. Disclaimers

10.1 AI Output. You acknowledge that AI-generated output is probabilistic. Teela does not warrant that SQL or results generated by the Services will be error-free or will meet your requirements or expectations.

10.2 No Professional Advice; Human Review. The SQL, charts, and data visualizations generated by the Services are for informational purposes only and do not constitute legal, financial, or professional advice. Teela does not guarantee the accuracy or performance of any AI-generated code. You are solely responsible for manually reviewing, testing, and validating all SQL queries in a non-production environment before executing them against live data to prevent performance degradation or unintended data exposure.

10.3 AS IS / AS AVAILABLE. THE SERVICES, THE WEBSITE, AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant that the Website or Services will be uninterrupted, secure, or free from viruses or other harmful components.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TEELA’S AGGREGATE LIABILITY FOR CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES SHALL NOT EXCEED THE FEES PAID BY YOU FOR THE SERVICES DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. IN NO EVENT SHALL TEELA BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. The foregoing limitations apply whether the claim is based on warranty, contract, tort, or any other legal theory, even if Teela has been advised of the possibility of such damages.

12. Indemnification

You agree to defend, indemnify, and hold harmless Teela and its affiliates, licensors, and service providers, and their respective officers, directors, employees, contractors, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to your violation of these Terms or your misuse of the Services or Website.

13. Dispute Resolution; Governing Law

13.1 Negotiation and Mediation. Before initiating arbitration, the parties shall attempt in good faith to resolve any dispute through executive-level negotiations for thirty (30) days, then, if unresolved, through non-binding mediation with a mutually agreed mediator, with costs shared equally.

13.2 Arbitration (Services). Any dispute arising out of or relating to the Services that is not resolved by negotiation or mediation shall be finally resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The seat and venue of arbitration shall be Raleigh, NC. The prevailing party is entitled to reasonable attorneys’ fees and costs.

13.3 Courts (Website). Claims relating solely to your access to or use of the Website (and not the Services) may be brought exclusively in the state or federal courts located in Wake County, North Carolina, and you consent to the personal jurisdiction of such courts.

13.4 Governing Law. These Terms are governed by the laws of North Carolina, without regard to conflict-of-law principles.

14. Termination and Suspension

Teela may suspend or terminate your access to the Services immediately if you materially breach these Terms, fail to pay applicable fees, or if your use of the Services poses a security risk to Teela or other users. Upon termination, your right to access the Services ceases immediately, and Teela may delete your account and related metadata stored in its vector database. Sections 7, 10, 11, 12, and 13 shall survive termination.

15. Limitation on Time to File Claims

ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THESE TERMS, THE SERVICES, OR THE WEBSITE MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES; OTHERWISE, SUCH CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED, TO THE EXTENT PERMITTED BY LAW.

16. Force Majeure

Neither party shall be liable for any failure or delay in performance to the extent caused by circumstances beyond its reasonable control, including acts of God, war, terrorism, pandemic, systemic internet or cloud outages, or governmental restrictions.

17. Export Compliance

The Services and Website may be subject to export laws and regulations of the United States and other jurisdictions. You represent and warrant that you are not located in a country that is subject to a U.S. Government embargo or that has been designated by the U.S. Government as a "terrorist supporting" country, and that you are not listed on any U.S. Government list of prohibited or restricted parties.

18. Changes to Terms

We may revise these Terms from time to time in our sole discretion. All changes are effective when posted (or as otherwise stated) and apply to all access to and use of the Services and Website thereafter. Your continued use after the effective date constitutes acceptance of the updated Terms. Changes to dispute resolution provisions will not apply to disputes of which you and Teela had actual notice before the change.

19. Waiver; Severability; Entire Agreement

No waiver of any term is deemed a further or continuing waiver of such term or any other term, and any failure to assert a right or provision shall not constitute a waiver.

If any provision of these Terms is held invalid, illegal, or unenforceable, such provision will be limited to the minimum extent necessary so that the remaining provisions continue in full force and effect.

These Terms, the Privacy Policy, and any Order or additional terms expressly agreed by Teela constitute the entire agreement between you and Teela regarding the Services and Website and supersede all prior or contemporaneous understandings.
